Description
Support and provide advice to all Company departments, including the Company's management and Go-to-Market (GTM) organization, on global strategic initiatives and commercial transactions. This will involve working in a fast-paced environment with executives, the GTM organization, external counsels, and other internal and external interfaces to assist the operational, strategic and financial objectives of our business.
The main areas of advice include:
- Commercial legal advice with a primary focus on software license agreements and partner agreements on the outbound side, as well as procurement agreements on the inbound side. This will entail drafting and negotiating with representatives of clients or vendors, includin legal counsel and procurement personnel, based on company standard documentation or client templates (for example - software license agreements, reseller and distributor agreements, DPAs, NDAs, master services agreements and the likes).
- Providing guidance to and overseeing the legal team and ensuring team members are providing legal support and advice in an effective and efficient manner. Serving as a legal escalation point to resolve contract negotiations' sticking points.
- Provide legal support and advice on a worldwide basis, with respect to general corporate matters, labor law, IP , compliance, privacy and Company policies.
- Liaise and work with outside counsel on ad hoc topics, such as litigation.
- Identify and advise on ongoing developments in relevant laws and regulations and key legal areas, such as sanctions and trade controls.Work cross functionally across the company to analyze legal matters, devise creative solutions and develop a strong trusted advisor relationships with internal stakeholders.
Requirements
- Qualified lawyer with 10+ years of relevant experience, including managerial experience.
- 5+ years of Experience as an in-house legal counsel, preferably in the software industry
- License to practice law in the US
- Strong business acumen and negotiation skills and strong working knowledge of technology and commercial contracts, corporate, IP, data protection and compliance.
- Ability to quickly and accurately recognize areas of risk / opportunity.
- Agile, flexible, willing and able to work across time zones and cultures.
- Experience leading and managing complex transactions, drafting and negotiating transaction documents and managing mid-sized and large transactions
- Ability to work independently, with all levels within the organization regardless of level or role, take initiative and multi-task in a fast-paced environment
- Possess organizational skills and experience working directly with stakeholders inside and outside the legal function and building relationships of confidence and trust
- Excellent written and oral communication skills, including the ability to present complex ideas clearly and concisely.
- Ability to translate complex legal concepts into actionable advice for the business
- Demonstrate flexible thinking with the ability to help business partners brainstorm pragmatic alternative solutions to business problems.
